1. Acceptance of Terms
By accessing darkstarcapital.ca (the "Site") or engaging Darkstar Capital LLC ("Darkstar Capital," "we," "us," or "our") for services, you agree to these Terms of Service. If you do not agree, please do not use the Site.
2. Nature of Our Services
Darkstar Capital provides investor outreach, marketing, introduction, and cross-border business development services on behalf of issuers and investment managers. We are not a registered securities dealer, adviser, underwriter, or broker in any jurisdiction. We do not solicit or execute trades in securities, we do not handle client or investor funds or securities, and we do not provide investment advice, recommendations, or suitability assessments to investors. Any decision to invest is made solely between investors and the relevant issuer or registered firm, and investors should obtain independent professional advice before making any investment decision.
3. No Offer or Solicitation
Nothing on this Site constitutes an offer to sell or a solicitation of an offer to buy any security, nor investment, legal, accounting, or tax advice. Materials we distribute on behalf of clients are prepared by, and are the responsibility of, those clients.
4. Client Engagements
Services are provided under separate written engagement agreements that govern scope, fees, deliverables, and termination. In the event of a conflict between these Terms and an engagement agreement, the engagement agreement prevails.
5. Client Portal Accounts
Access to the client portal is limited to authorized users. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We may suspend access for misuse or non-payment. Subscription fees and billing are processed through our third-party payment provider and are subject to the terms presented at checkout.
6. Intellectual Property
All Site content, including text, graphics, logos, and software, is owned by or licensed to Darkstar Capital and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
7. Acceptable Use
You agree not to misuse the Site, including by attempting unauthorized access, interfering with its operation, scraping data, or using it for any unlawful purpose.
8. Disclaimers and Limitation of Liability
The Site and its content are provided "as is" without warranties of any kind, express or implied. We do not guarantee any particular fundraising, investment, or business outcome. To the maximum extent permitted by law, Darkstar Capital shall not be liable for any indirect, incidental, consequential, or special damages arising from use of the Site or reliance on its content.

The Site may contain links to third-party websites. We are not responsible for their content or privacy practices.

11. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.

We may revise these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
13. Privacy
Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
